DEFINITION OF TERMS

• eMay-Design

eMay-Design, located at 911 West Windsong Drive, Phoenix, AZ 85045

• CLIENT

Any individual, company, LLC or other entity utilizing the services of eMay-Design.

• CONTRACT

An agreement made between eMay-Design and CLIENT, whether written or by email or fax

STANDARD TERMS OF AGREEMENT

Authorization

A CLIENT engages eMay-Design as an independent contractor for a specific project either in writing, phone conversation or via email. When necessary, the CLIENT authorizes eMay-Design to access their ISP account, and authorizes the ISP to provide eMay-Design with any necessary "write permission" for the CLIENT’s web page directory, cgi-bin directory, and any other directories or programs which need to be accessed for this project. The CLIENT also authorizes eMay-Design to publicize their completed website to Web search engines, as well as other Web directories and indexes.

Warranties

eMay-Design represents and warrants to the CLIENT that it has the experience and ability to perform the services required in any agreed upon CONTRACT; that it will perform said services in a professional, competent and timely manner; that it has the power to enter into and perform this CONTRACT; and that its performance of any CONTRACT shall not infringe upon or violate the rights of any third party or violate any federal, state and municipal laws. However, CLIENT will not determine or exercise control as to general procedures or formats necessary to have these services meet CLIENT’s satisfaction

The CLIENT represents and warrants to eMay-Design that it will provide CLIENT materials as required in a professional, competent and timely manner; that it has the power to enter into this Agreement on behalf of CLIENT; and that its performance of this CONTRACT shall not infringe upon or violate the rights of any third party or violate any federal, state and municipal laws.
